BryngUp LLC – Ride-Share Platform

1. Acceptance of Terms

By creating an account, accessing, or utilizing the ride-share application or platform operated by BryngUp LLC, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must immediately refrain from accessing or using the platform.

2. Definitions

Rider / Passenger:: Any registered individual who requests or receives transportation services via the application.
Driver:: Any individual registered and approved to provide transportation services through the platform.
Platform:: The mobile applications, web platforms, APIs, software, and related services managed and operated by BryngUp LLC.
Service:: The technological intermediary service that facilitates connections between passengers and independent drivers.

3. Nature of the Service

BryngUp LLC is not a transportation provider. We are a technology company that provides a platform enabling passengers to arrange and schedule transportation with independent third-party transportation providers. Drivers operate strictly as independent contractors and are not employees, agents, or representatives of BryngUp LLC.

4. Account Registration and Security

Users must provide truthful, accurate, and up-to-date registration information at all times.
Each user is solely responsible for maintaining the confidentiality and security of their account credentials.
BryngUp LLC reserves the full right to suspend, restrict, or terminate any account in the event of non-compliance or breach of these terms.

5. Passenger Obligations

Provide accurate pickup and destination location details when booking a ride.
Maintain respectful, safe, and lawful conduct toward drivers and the public throughout the trip.
Never use the platform for unlawful, fraudulent, or hazardous activities.
Pay all applicable fares, tolls, and associated charges promptly.

6. Driver Obligations

Comply with all applicable federal, state, and local transportation laws, licensing rules, vehicle registrations, and insurance coverage requirements.
Maintain their vehicle in safe, clean, and roadworthy mechanical condition.
Never consume or be under the influence of alcohol, illegal drugs, or impairing substances while operating on the platform.
Accept and provide rides exclusively through the official BryngUp platform.
Respect passenger privacy, dignity, and safety at all times.

7. Fares and Payments

Fares are calculated based on route distance, elapsed time, and real-time market demand.
BryngUp LLC reserves the right to apply dynamic pricing during periods of high demand.
All payments are securely processed electronically via authorized third-party payment gateways.
Platform service fees and applicable commissions are automatically deducted from the transaction.

8. Cancellations

Passengers may cancel a ride request prior to driver arrival, subject to applicable cancellation fees.
Drivers may cancel an assigned ride for safety reasons or in the event of passenger non-compliance with platform rules.

9. Prohibited Conduct

The following behaviors are strictly prohibited and may result in immediate permanent account termination and legal action:

Fraudulent account creation, identity theft, or unauthorized account access.
Tampering with or manipulating pricing algorithms, ride metrics, or GPS positioning.
Harassment, discrimination, threatening language, or violent acts of any kind.
Transporting illegal, hazardous, or prohibited substances.
Attempting to probe, scan, or breach platform security, APIs, or infrastructure.

10. Intellectual Property

All software, visual interfaces, graphics, source code, documentation, and the BryngUp LLC trademark and brand assets are the exclusive property of BryngUp LLC. Any unauthorized copying, reverse engineering, redistribution, or commercial reproduction is strictly prohibited without prior written consent.

11. Limitation of Liability

BryngUp LLC does not guarantee uninterrupted service availability, error-free operation, or the absolute safety of rides. To the maximum extent permitted by applicable law, BryngUp LLC shall not be held liable for:

Any direct, indirect, or consequential damages resulting from the actions or omissions of drivers or passengers.
Accidents, bodily injury, personal damage, property loss, or theft occurring during or after a trip.
Technical malfunctions, network delays, system downtime, or unauthorized data access.

12. Indemnification

Users agree to release, defend, indemnify, and hold harmless BryngUp LLC, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from or connected to the user's improper use of the platform or violation of these terms.

13. Amendments and Modifications

BryngUp LLC reserves the right to revise, update, or modify these terms at any time. Any changes will be posted on this page with an updated effective date. Your continued use of the platform constitutes acceptance of any modified terms.

14. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, United States, without giving effect to any principles of conflicts of law.

Registration Details: Name, email address, phone number, and account credentials.
Real-Time Geolocation: Precise location data collected from passengers and drivers during app usage and active rides to facilitate pick-up, navigation, and drop-off.
Driver & Vehicle Documentation: Vehicle specifications, registration papers, driver's license, background check documentation, and proof of insurance.
Trip & Transaction History: Route logs, timestamps, payments, billing receipts, and ratings/reviews.
Technical Information: IP address, device hardware model, operating system version, app diagnostics, and crash logs.

2. How We Use Your Information

To operate, optimize, and maintain our technological ride-sharing platform.
To verify identity, validate credentials, and safeguard the safety of our community.
To process fares, payments, and financial transactions securely.
To detect, prevent, and respond to fraud, unauthorized access, and security incidents.

3. Information Sharing

Between Drivers and Passengers: Sharing essential details (such as names, photos, vehicle details, pickup/drop-off points) necessary to fulfill a requested ride.

No Liability for Incidents: The company assumes no responsibility or liability for personal injury, property damage, accidents, delays, losses, or disputes occurring during or in connection with transportation services.

Inherent Risks of Transportation: Users explicitly acknowledge and agree that personal vehicular transportation inherently carries risks, and participation is undertaken voluntarily.

System Interruptions: BryngUp LLC is not liable for service delays, ride cancellations, routing errors, or technological outages.
